Standard NDA
"This Mutual Non-Disclosure Agreement (the 'NDA') protects the neural strategies and proprietary data shared during the transformation and implementation phases of our engagement."
1. Definition of Confidential Information
Includes but is not limited to: vector database schemas, custom model prompts, proprietary training datasets, strategic AI roadmaps, and business-specific neural orchestration logic shared between Profitech AI and the Client.
2. Obligations of Non-Disclosure
Both parties agree to hold Confidential Information in strict confidence and to take all reasonable precautions to protect such information (including, without limitation, all precautions the receiving party employs with respect to its own confidential materials).
3. Permitted Disclosures
Information may be shared only with employees or contractors who 'need to know' such information for the implementation of the AI strategy and who are bound by confidentiality obligations no less restrictive than those herein.
4. Term and Termination
The obligations of this NDA shall survive for a period of five (5) years following the termination of any active service agreement between the parties, ensuring long-term protection of strategic competitive advantages.
